3. Estimates, Proposals & Statements of Work
All preliminary estimates, quotes, and consultation estimates delivered through our online quote calculator or email correspondence are valid for thirty (30) calendar days from issuance.
Specific projects are formalized through a dedicated Statement of Work (SOW) or Project Agreement specifying detailed deliverables, timeline milestones, pricing structure, and revision thresholds. In the event of a direct conflict between these general Terms and an authorized SOW, the provisions of the SOW shall prevail.
4. Payment Terms & Invoicing
- Milestone Payments: Unless expressly stipulated otherwise in an SOW, custom development projects require an initial deposit prior to work commencement, followed by scheduled milestone payments tied to deliverable completions.
- Retainers & Marketing Services: Ongoing digital marketing, SEO, and maintenance retainers are billed on a recurring monthly cycle and payable in advance of the service period.
- Late Payments: Invoices not settled within the designated payment term (typically 14 calendar days) may be subject to a late charge of 1.5% per month or the maximum rate permissible by New York state law. The Agency reserves the right to suspend active staging, development, or live services in the event of overdue balances.
- Taxes: The Client is responsible for applicable sales, use, or local excise taxes related to the rendered deliverables.
5. Client Responsibilities & Content Provision
Timely delivery of our work relies on effective collaboration. The Client agrees to:
- Provide required text, high-resolution media assets, credentials, and business information in a timely manner.
- Review milestones and provide consolidated, constructive feedback within five (5) business days of deliverable submission.
- Warrant that all materials, trademarks, copy, and images provided to the Agency are owned by the Client or appropriately licensed without infringing upon third-party intellectual property rights.
6. Intellectual Property & Ownership
A. Deliverable Ownership
Upon receipt of full and final payment for the project, all custom frontend visual design elements, unique branding files, and custom source code written specifically for the Client under the agreed SOW shall transfer to and become the exclusive property of the Client.
B. Pre-existing Code & Third-Party Licenses
Pre-existing tools, open-source libraries (e.g., React, WordPress, PHP packages), reusable code snippets, and third-party plugins remain subject to their respective open-source or commercial software licenses.
C. Agency Showcase Rights
Unless explicitly restricted by a signed Non-Disclosure Agreement (NDA), iProLogic Solution reserves the right to display completed project screenshots, design concepts, and summaries in our digital portfolio, case studies, and marketing presentations to showcase our craftsmanship.
7. Revisions & Scope Modifications
Each project milestone includes an agreed allocation of revision rounds (typically two rounds per phase) to fine-tune layout, color, and styling within the defined scope.
Requests for additional features, third-party API integrations, structural changes, or functionality not contemplated in the original SOW will be documented as a Change Order with an associated fee and timeline adjustment approved by both parties.
8. Hosting, Domains & Third-Party Providers
While we recommend and configure high-performance hosting environments (e.g., Hostinger, cloud VPS, AWS), domain registrars, and email relays, iProLogic Solution does not own or operate these underlying infrastructure platforms. Consequently, we cannot be held liable for third-party hosting downtimes, registrar outages, upstream cyber attacks, or policy changes enacted by external vendors.
9. Warranties & Disclaimers
We warrant that all services will be executed in a professional, workmanlike manner adhering to modern web development, security, and design standards. Following final deployment, we provide a standard thirty (30) day post-launch warranty period to correct bug fixes or functional errors attributable to our code at no additional charge.

OUR MAXIMUM CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF A CONTRACTUAL ENGAGEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL FEES PAID BY THE CLIENT TO THE AGENCY FOR THE SPECIFIC SERVICE OR PHASE GIVING RISE TO THE CLAIM DURING THE PRECEDING THREE (3) MONTHS.
11. Confidentiality
Both the Agency and the Client agree to maintain the strict confidentiality of proprietary technical information, business data, trade secrets, and financial details shared throughout the engagement, using at least the same degree of care as each party employs to protect its own sensitive assets.
12. Termination & Cancellation
Either party may terminate an active service agreement upon written notice if the other party materially breaches these Terms and fails to remedy the breach within fifteen (15) days of receipt of notice.
In the event of project cancellation by the Client prior to completion, the Client shall pay for all hours expended and milestones achieved up to the effective termination date. Deposits for initiated work are non-refundable.
13. Governing Law & Dispute Resolution
